Terms of Service

1. Acceptance of Terms

By accessing or using any products, services, or websites operated by Surge Software Solutions ("Surge," "we," "our," "us"), including our MCP connectors, enterprise AI products, and surgesoftware.com (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

2. Description of Services

Surge provides:

  • MCP (Model Context Protocol) connectors that enable AI assistants to interact with enterprise platforms (Microsoft 365, Salesforce, Adobe, ServiceNow, etc.)
  • Enterprise AI products including knowledge management systems, document intelligence tools, and workflow automation
  • Technology consulting, implementation, and staff augmentation services

3. Account Requirements

To use our MCP connectors, you must have a valid account with the relevant enterprise platform (e.g., a Microsoft 365 account for our Teams connector). You are responsible for maintaining the security of your platform credentials and for all activity that occurs through your connected accounts.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any systems, networks, or data through our connectors
  • Scrape, data mine, or systematically extract data from enterprise platforms through our connectors beyond normal interactive use
  • Interfere with or disrupt the Services or the servers and networks connected to the Services
  • Reverse engineer, decompile, or disassemble any portion of the Services (except as permitted by applicable open source licenses)
  • Use the Services to send spam, phishing messages, or other unsolicited communications through connected platforms
  • Exceed any rate limits or usage quotas imposed by the enterprise platforms or by our Services

5. Intellectual Property

Our open source software (including the Microsoft Teams MCP Connector) is licensed under the MIT License. You may use, modify, and distribute this software in accordance with the MIT License terms.

The Surge name, logo, brand assets, website content, and proprietary service methodologies are owned by Surge Software Solutions and are protected by applicable intellectual property laws. You may not use our brand assets without prior written permission.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in our Privacy Policy.

7. Third-Party Platforms

Our connectors interact with third-party enterprise platforms (Microsoft, Salesforce, Adobe, etc.). Your use of these platforms is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or security practices of third-party platforms.

8. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or factors beyond our control (including third-party platform outages).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURGE SOFTWARE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us (if any) for the Services in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

For our open source tools, this disclaimer is consistent with the MIT License under which they are distributed. We do not warrant that the Services will be error-free, secure, or available at all times.

11. Indemnification

You agree to indemnify and hold harmless Surge Software Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services or your violation of these Terms.

12. Termination

Either party may terminate the use of Services at any time. You may terminate by disconnecting our connectors from your enterprise platforms and ceasing use of our Services. We may terminate or suspend your access if you violate these Terms or if required by law.

Upon termination, any session data is immediately cleared (consistent with our stateless architecture). Provisions that by their nature should survive termination (including limitations of liability and indemnification) will remain in effect.

13. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by updating the "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, India.
